ðŸ¢ JewelSoft is a product owned, developed, and operated by OmniServe Intelligence Pvt Ltd, incorporated under the Companies Act, 2013. All contractual obligations, liabilities, intellectual property, software, and legal responsibilities associated with JewelSoft vest exclusively with OmniServe Intelligence Pvt Ltd.

Please read these Terms carefully before using JewelSoft. By accessing or using our platform, you agree to be legally bound by these Terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Jeweller") and OmniServe Intelligence Pvt Ltd ("OmniServe", "Company"). By registering or using JewelSoft, you confirm you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable Indian laws.

2. Eligibility

You must be at least 18 years of age to register and use JewelSoft.
You must be a registered jewellery business holder with valid GST registration (where applicable under the CGST Act, 2017).
You represent that you have the legal authority to bind your business entity to these Terms.

3. Platform Services

JewelSoft, a product of OmniServe Intelligence Pvt Ltd, provides a cloud-based jewellery management platform including:

Billing and invoice generation for jewellery sales
Inventory management for gold, silver, diamond, and gemstone items
Gold loan ledger and customer account management
Customer history and purchase records
Admin dashboard with role-based access controls

JewelSoft is a Software as a Service (SaaS) B2B platform. OmniServe Intelligence Pvt Ltd is not a jewellery retailer, financial institution, or lending entity.

4. User Obligations

Provide accurate and complete registration information
Maintain the confidentiality of your login credentials
Comply with all applicable Indian laws including the CGST Act, BIS Hallmarking norms, and FEMA regulations applicable to jewellery trade
Not use the platform for money laundering, fraudulent billing, or activities prohibited under the Prevention of Money Laundering Act, 2002 (PMLA)
Not engage in unauthorised access, reverse engineering, or data scraping of the JewelSoft platform

5. Payment and Subscription

Access to premium features is subject to subscription fees published on our pricing page. All payments are in Indian Rupees (INR). GST at applicable rates shall be charged as per the CGST/IGST Act. Refunds shall be governed by our Refund Policy published separately.

6. Intellectual Property

All software, design, code, logos, trademarks, and content on the JewelSoft platform are the exclusive intellectual property of OmniServe Intelligence Pvt Ltd and are protected under the Copyright Act, 1957, Trade Marks Act, 1999, and Patents Act, 1970. Unauthorised reproduction, distribution, or derivative use is strictly prohibited.

7. Data Responsibility

You, as the Registered Jeweller ("Data Fiduciary" under DPDP Act 2023), are responsible for obtaining lawful consent from your customers before entering their personal data into JewelSoft. OmniServe Intelligence Pvt Ltd acts as a "Data Processor" for customer data you enter and processes it solely on your instruction.

8. Limitation of Liability

To the maximum extent permitted under Indian law, OmniServe Intelligence Pvt Ltd shall not be liable for:

Loss of business, revenue, or profits arising from platform downtime
Data loss due to user error or force majeure events
Tax, regulatory, or compliance consequences of billing data generated by you

Our total aggregate liability shall not exceed the subscription fees paid by you in the preceding 3 months.

9. Termination

OmniServe Intelligence Pvt Ltd may suspend or terminate your account without prior notice if you breach these Terms, engage in fraudulent activity, or if required by a lawful authority. Upon termination, you may request a data export within 30 days before data deletion.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of courts in India. Disputes may also be resolved through arbitration under the Arbitration and Conciliation Act, 1996.

11. Changes to Terms

OmniServe Intelligence Pvt Ltd reserves the right to modify these Terms at any time with 15 days' prior notice to registered users via email. Continued use constitutes acceptance.
